These Terms of Service ("Terms") govern your use of the UrbanEater restaurant discovery and management platform ("Service"), operated by UrbanEater ("we," "our," or "us"). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Description of Service

UrbanEater is a restaurant directory and management platform that provides:

• A public directory allowing diners to discover local independent restaurants
• Tools for restaurant owners to list and manage their restaurant profiles, including photos, hours, menus, and promotions
• Operational features for restaurant businesses including point-of-sale, online ordering, CRM, loyalty programs, and analytics
• Marketing services including social media marketing, influencer marketing, and search engine optimization

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

2. Accounts

To access certain features of the Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your password and account
• Promptly update your account information if it changes
• Notify us immediately of any unauthorized use of your account at our support email
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms.

3. Restaurant Listings

Restaurant owners who submit listings to UrbanEater agree to the following:

• All listing information (name, address, hours, photos, descriptions) must be accurate and up to date
• Photos submitted must be your own or properly licensed content that you have the right to use
• Listings must represent a real, operating restaurant or food business
• Promotions and deals listed must be genuine and honored at the restaurant
• You will keep your listing information current and promptly update it when your details change

We review all submissions and reserve the right to approve, decline, or remove listings at our sole discretion. We are not liable for any losses arising from listing decisions.

4. Acceptable Use

You agree not to use the Service to:

• Post false, misleading, or fraudulent information
• Impersonate any person or entity
• Upload content that infringes any third-party intellectual property rights
• Transmit spam, unsolicited messages, or malicious code
• Attempt to gain unauthorized access to any part of the Service or its systems
• Scrape, crawl, or systematically extract data from the platform without written permission
• Use the Service for any unlawful purpose or in violation of applicable regulations
• Interfere with or disrupt the integrity or performance of the Service

5. Intellectual Property

The UrbanEater platform, including its design, software, branding, and editorial content, is owned by UrbanEater and protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.

By submitting content to UrbanEater (including photos, descriptions, and other listing materials), you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content in connection with operating and promoting the Service. You retain ownership of your content.

You represent that you own or have the necessary rights to any content you submit, and that your content does not infringe the rights of any third party.

6. Fees and Payment

UrbanEater offers a free tier for restaurant listings. Paid plans and additional services (marketing, POS, online ordering, etc.) are governed by separate subscription agreements. All fees are described at the time of purchase and are non-refundable except where required by law or as expressly stated in a subscription agreement.

We do not charge commissions on orders or transactions processed through the platform. Our pricing is transparent and based on subscription tiers.

7. Third-Party Services

The Service integrates with third-party services including Google Maps, payment processors, and email delivery providers. Your use of these integrated services is subject to the respective providers' terms and privacy policies. We are not responsible for the practices or content of third-party services.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. Restaurant information on the platform is provided by restaurant owners and we do not independently verify its accuracy, completeness, or currency.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, URBANEATER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

Our total liability to you for any claims arising from your use of the Service shall not exceed the fees paid by you to UrbanEater in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless UrbanEater, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

11. Termination

Either party may terminate your account or access to the Service at any time. We may terminate or suspend your access immediately, without notice, if you breach these Terms. Upon termination, your right to use the Service ceases. Provisions of these Terms that by their nature should survive termination will survive.

12. Governing Law

These Terms are governed by applicable law. Any disputes arising from or relating to these Terms or the Service shall be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration or in the courts of competent jurisdiction.

13. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify registered users by email. Continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.
